1. The agreement
These Terms of Service form a binding agreement between you and SahiInvoice, a sole proprietorship registered in India, at Sarjapur Road, Bengaluru, Karnataka 560001, India (“SahiInvoice”, “we”, “us”). They apply the moment you create an account or use the service. If you do not agree, do not use SahiInvoice.
Our Privacy Policy, Refund & Cancellation Policy and Cookie Notice are part of this agreement.
2. Who can use it
You must be at least 18 and able to enter a contract under the Indian Contract Act, 1872. If you use SahiInvoice on behalf of a firm or company, you confirm you are authorised to bind it, and “you” means that entity. One account is for one business — do not share sign-in credentials.
3. What SahiInvoice is
SahiInvoice is document-preparation software for Indian freelancers and consultants who invoice foreign clients. It reads payout statements you upload, generates export invoices referencing your LUT, tracks the proof trail, raises compliance alerts, and produces GSTR-1 and GSTR-3B files.
It is not connected to the GST portal or to any payout platform. Nothing is transmitted to the government from here. You or your Chartered Accountant download the files and file them. We are not a GST Suvidha Provider or an Application Service Provider, and we do not hold your platform or banking credentials.
4. We are not tax advisors
Read this clause in full
SahiInvoice does not provide tax, accounting, legal or financial advice, and nothing in the product or on this website is such advice. We are not Chartered Accountants, Company Secretaries, Cost Accountants, advocates or registered tax practitioners, and no professional-client relationship is created by your use of the service. Every invoice, alert, threshold calculation, summary and export the software produces is an automated output based on the data you supplied and on our understanding of the rules at the time the feature was built. It is a starting point for a qualified professional to review — not a substitute for one.
Tax law changes, and it applies differently to different facts. Before you rely on anything this product generates — including whether a supply qualifies as a zero-rated export, whether you must register for GST, whether TDS applies to a payment, or what belongs in a particular return table — have it reviewed by a qualified professional who knows your circumstances.
You alone are responsible for what you file, when you file it, and what you pay. We are not liable for any tax, interest, penalty, late fee, notice, assessment, prosecution or professional cost that arises from your returns, whether or not our software was used to prepare them.
5. Your responsibilities
- The data you import must be accurate and complete. Our outputs are only as correct as the CSVs and profile details you provide.
- You must verify every generated invoice, alert and return file before acting on it.
- You are responsible for registering for GST, filing your LUT, filing your returns and paying your dues, on time.
- You must keep your Google account secure. Anything done through your account is treated as done by you.
- You must retain your own books, invoices and proof of export for the period GST law requires — see section 7 of the Privacy Policy.
- You are responsible for who you invite to the CA portal and for revoking access when it is no longer needed.
6. Plans, billing and taxes
- Subscriptions are prepaid and renew automatically at the end of each billing period until cancelled.
- Prices are displayed in Indian rupees. GST is charged on top at the applicable rate, and we issue you a tax invoice for every payment.
- Payments are processed by Razorpay. Card and UPI credentials go to Razorpay, not to us.
- Plan limits are enforced by the software. Exceeding a limit may require an upgrade to continue importing.
- If a renewal payment fails, we may suspend access until it succeeds. Your data is retained during suspension.
- We may change prices with at least 30 days' notice by email. The new price applies from your next renewal, and you may cancel before it takes effect.
Cancellations and refunds are governed by our Refund & Cancellation Policy.
7. Acceptable use
You agree not to:
- use the service to prepare false, fabricated or fraudulent invoices or returns;
- upload data you have no right to process, including another person's financial records;
- reverse engineer, decompile, scrape or copy the service, or resell access to it;
- probe, attack or circumvent our authentication, rate limits or access controls;
- upload malware, or files designed to disrupt or exhaust the service; or
- use the service in breach of any applicable law.
We may suspend an account immediately where we reasonably believe it is being used this way.
8. Who owns what
Your data stays yours. You keep all rights in the statements you upload and the invoices and returns generated from them. You grant us a limited licence to store and process that content solely to provide the service to you — nothing more.
The software stays ours. SahiInvoice, its source code, design, templates, compliance rules and name remain our property. You get a personal, non-exclusive, non-transferable, revocable right to use it while your subscription is active.
9. Availability and third parties
We aim to keep the service available, but we do not commit to an uptime guarantee. Access may be interrupted for maintenance, or by a failure at a provider we depend on — our host, database, identity provider, email provider or payment processor.
Payout platforms change their CSV formats without telling us. If an import stops parsing correctly, tell us and we will fix the parser, but we are not liable for the interruption.
10. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranty of any kind — express or implied — including merchantability, fitness for a particular purpose, non-infringement, or that the output is accurate, complete, current or compliant with any particular law. We do not warrant that the service will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity — nor for any tax, interest, penalty or late fee assessed against you.
Our total aggregate liability for all claims arising out of or relating to the service is limited to the greater of (a) the subscription fees you actually paid us in the 12 months before the event giving rise to the claim, or (b) ₹1,000.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.
12. Indemnity
You will indemnify and hold us harmless against claims, losses and reasonable legal costs arising from your breach of these terms, your misuse of the service, the content you upload, or your tax filings.
13. Suspension and termination
You may cancel at any time from Settings, and delete your account and data from Settings → Your data. We may suspend or terminate an account for breach of these terms, non-payment, or where required by law — with notice, unless the breach makes immediate action necessary.
On termination your right to use the service ends. Export your records first: after deletion they cannot be recovered. The clauses on tax advice, ownership, disclaimers, liability, indemnity and governing law survive.
14. Changes to these terms
We may update these terms. The date at the top of this page reflects the latest revision, and we will email you before a material change takes effect. Continuing to use the service after that date means you accept the revised terms; if you do not, cancel and delete your account.
15. Governing law and contact
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction, without prejudice to any right you have to approach a consumer forum where you reside. Before starting proceedings, please write to us — most disputes are resolved by email.
